The Service is intended for licensed healthcare professionals. By using the Service, you represent that you are a qualified healthcare provider authorized to document patient encounters in your jurisdiction.

2. Description of Service

ButterNote is a medical documentation application that helps healthcare professionals:

  • Record patient encounters using audio
  • Transcribe recordings using on-device AI
  • Generate structured clinical notes
  • Detect and redact protected health information (PHI)
  • Sync de-identified notes to a secure cloud dashboard

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities under your account

4. User Responsibilities

As a user of ButterNote, you are responsible for:

  • Clinical Accuracy: Reviewing and verifying all AI-generated notes for accuracy before use in patient care or medical records.
  • Patient Consent: Obtaining appropriate patient consent for recording encounters, as required by applicable law and your institution's policies.
  • PHI Protection: Reviewing notes to ensure PHI is properly redacted before syncing, and maintaining appropriate device security.
  • Compliance: Complying with all applicable healthcare regulations, including HIPAA, and your organization's policies.
  • Professional Standards: Using the Service in accordance with professional medical standards and ethics.

5. Medical Disclaimer

Important:

ButterNote is a documentation tool, not a medical device. The Service does not provide medical advice, diagnosis, or treatment recommendations. AI-generated notes are suggestions only and must be reviewed by a qualified healthcare professional before use.

You are solely responsible for all clinical decisions and the accuracy of your medical documentation. Never rely solely on AI-generated content for patient care decisions.

6. Intellectual Property

The Service, including its design, features, and content, is owned by ButterNote and protected by intellectual property laws. You may not:

  • Copy, modify, or distribute the Service
  • Reverse engineer or decompile the application
  • Remove any proprietary notices or labels
  • Use the Service for any unlawful purpose

You retain ownership of your notes and content. By using the Service, you grant us a limited license to process and store your de-identified content as necessary to provide the Service.

7. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service
  • Upload malicious code or content
  • Share your account with unauthorized users
  • Use the Service to harm patients or violate their privacy
  • Misrepresent your professional credentials

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUTTERNOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Errors in AI-generated transcriptions or notes
  • Failure to detect or redact PHI
  • Clinical decisions based on Service output
  • Service interruptions or data loss

Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated content may contain errors and should always be reviewed by a qualified professional.

10. Indemnification

You agree to indemnify and hold harmless ButterNote, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your clinical decisions or medical documentation

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and revising the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in San Francisco County, California.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
